Corporate Governance Policy

Introduction

AI Smartual Learning Sdn Bhd and its subsidiary, Vlearned Technologies Uganda Limited, are committed to maintaining the highest standards of corporate governance. Our corporate governance framework is designed to promote transparency, accountability, and ethical behavior throughout our organizations. This policy outlines our commitment to anti-bribery and anti-corruption, a code of ethics for employees, sexual harassment prevention, and human rights protection.

Scope

This policy applies to all employees, contractors, interns, volunteers, and any other individuals working with AI Smartual Learning Sdn Bhd and Vlearned Technologies Uganda Limited.

Policy Statements

  1. Anti-Bribery and Anti-Corruption:
    • We have a zero-tolerance approach to bribery and corruption. All employees must comply with applicable anti-bribery and anti-corruption laws.
    • Employees are prohibited from offering, giving, receiving, or soliciting any form of bribe or corrupt payment, whether directly or indirectly.
    • Employees must avoid any activity that might lead to, or suggest, a conflict of interest or any form of corrupt behavior.
    • Any suspected or actual instances of bribery or corruption must be reported immediately to the appropriate authorities within the company.

    • Employees must avoid conflicts of interest and disclose any potential conflicts to management.
    • Confidentiality of company information must be maintained, and employees must not use company information for personal gain.
    • Employees are expected to treat colleagues, clients, and stakeholders with respect and professionalism.
    • Compliance with all applicable laws, regulations, and company policies is mandatory.
  3. Sexual Harassment Policy:
    • AI Smartual Learning Sdn Bhd and Vlearned Technologies Uganda Limited are committed to providing a workplace free from sexual harassment.
    • Sexual harassment in any form, including unwelcome advances, requests for sexual favors, and other verbal or physical conduct of a sexual nature, is strictly prohibited.
    • Employees are encouraged to report any incidents of sexual harassment to the designated HR representative or any member of management.
    • All reports of sexual harassment will be taken seriously and investigated promptly and confidentially.
    • Retaliation against individuals who report sexual harassment or participate in investigations is prohibited.
  4. Human Rights Policy:
    • We are committed to respecting and promoting human rights in all our operations and business activities.
    • We will uphold the principles of the Universal Declaration of Human Rights and ensure fair and equitable treatment of all individuals.
